Description of module content:

This module focuses on the law relating to corporate insolvency law. It addresses the various mechanisms offered to businesses experiencing financial difficulties with a view to either liquidate or rescue the company. The module focuses on core concepts and principles of corporate insolvency, such as the evolution and rationales of corporate insolvency law; the sources, definitions and objectives of insolvency law; the causes of corporate failure; the creditor/debtor relationship; and the liquidation/rescue dichotomy. It also engages with the issues of cross-border insolvency law and the position of the United Kingdom on the international insolvency scene.The module builds on knowledge acquired through previous modules such as the Law of Obligations and Commercial Law (although having studied these two modules is not a prerequisite for learning corporate insolvency law) and will help you to develop your commercial awareness by enabling you to apply both practice-informed as well as reform-oriented problem-solving techniques to concrete legal issues arising in insolvency cases. You will thus develop a critical appreciation of the regulation and practice of corporate insolvency law and insight into how to assist struggling companies to recover from their financial difficulties, through the use of formal and informal insolvency mechanisms.Particularly, this module will hone your transferable skills in research and written communication skills. It will enable you to develop your organisational and time-management skills; teamwork; legal reflection; and commercial awareness.

Learning Outcomes for module:

Upon completion of this module you will be able to

LO1: Develop an in-depth knowledge and understanding of corporate insolvency law in the UK (Scotland; England and Wales).

LO2: Critically analyse and evaluate law, policy and legal issues relating to corporate insolvency law as it has developed over the years and in recent times.

LO3: Critically evaluate the current provisions of the law and proposals for reform in the areas explored.

LO4: Undertake independent research with minimal supervision, starting from standard legal information sources.

LO5: Demonstrate competence in the construction and support of a written legal argument and and communicate complex legal concepts in writing.
